8:03 AM: Meeting called to order by Tom Feller

Jimmie Cooper: Made a motion to have someone else chair this meeting

Brenda Crowder: Seconded motion

Tom Feller: Refused to let JC make the motion

Cooper: Advised TF that according to the Robert’s Rule of Order (RRO), he could

Feller: Again refused

Troy Ellerman: According to the Colorado Non Profit laws, RRO do not apply to this meeting

Cooper: If the RRO do not apply, does he still have the floor

Ellerman: No

PRCA Attorney: Well yes and no

Cooper: Do I have the floor?

Ellerman: Yes, but we have an agenda and we are going to go by it – we have a DVD to show

Cooper: If you want to run this like a Gestapo, I will get out of the way

Ellerman: OK (and sat down)

8:07 AM Started showing the DVD about the start of the Turtles Assn, RCA and PRCA. It took 14 minutes!

Feller: All minutes and DVD have been mailed to your homes and with a new in-house website, we will be able to get online with your PRCA card number and get Board Minutes in a more timely method

Keith Martin: Explained the Financial Report on a slideshow

8:28 AM Meeting FINALLY started back

Feller: We have to get out early for the Brunch

Jack Hannum: Talked shortly about the new playoff idea of the Circuit system

Allen Jordan: Took microphone around the room for Q & A

Feller: Said no General Membership meetings have been held before for “however” long

General Discussion Began

Cooper: Made a motion to restructure the Board of Directors, reinstate the WPRA, and remove all current Board members and no Board member will be a paid employee of the PRCA. Explained the new structure – a President, 2 vice-presidents, etc AND to put Troy Ellerman on Immediate leave

??? Seconded the motion

Feller: Said that this could not be done according to our Bylaws and Rules

Attorney: Said that such a major restructuring would require a special meeting to be presented to all members

Cooper: Again are we going by the RRO?

Attorney: Yes, but this is not proper RRO

Cooper: The steps ARE being done properly. Why have you decided we can’t go by YOUR RRO?

Attorney: No, no, no!

Cooper(to Troy): I have tried to go by the rules. What motion CAN I make?

Jim Warren: We want to call for a vote

Cooper: Are you afraid to call this to a vote?

Dean Finerty: ??? (couldn’t read my notes)

Warren: Said that he presented the proxy votes to the PRCA on Aug 8. On Aug 16 the BOD voted to no longer accept proxy votes. He was notified the end of September that they would not accept proxy votes.

Feller: Disagreed with Jim’s timetable

Warren: Asked why this meeting was scheduled at this time. He said this was done one purpose and that this whole meeting is a joke!

Feller: Thank you

Ronnie Christian: How will a General Membership meeting be called?

Feller: Read your rulebook B1.9 – it requires 1/10th of the votes

Christian: Asked why Charles Soileau (SB) has not replaced Tom Reeves on the Board

Feller: Tried to explain (I couldn’t understand him enough to write notes!)

Christian: How do I send a letter to the Commissioner and know that it will get to each BOD member

Feller: Just send it to Troy and he will give it to them

Christian: I did and HE didn’t! How do you propose setting a meeting in a more timely method?

Feller: We’re working on that

Cotton Rosser: Said that if you are unhappy with your event reps, vote them out. He thinks the current BOD is doing a good job

Jim Nichols(to Troy): I earned my card in 1982 (TE had made a comment earlier that Jim doesn’t have a card). Jim asked how many lawsuits are pending right now and at what cost

Attorney: 2 are pending – WPRA and Jim Warren’s; does not know what cost

Nichols: Is that the only 2?

Attorney: Yes

Feller: Does not know how much

Nichols: Asked Feller is he doesn’t have to sign off on expenditures for legal fees

Feller: Yes but I can’t give you an exact amount

Nichols: Just a ballpark figure

Feller: Can’t do that, I might give the wrong amount

Fred Whitfield: Said he is against the new format of Houston, that the $50,000 bonus should NOT count for the World Standings. The calf ropers had told their rep, Jimmy Adams, to vote NO! He voted no but it passed anyway

Ellerman: Jimmy Adams voted for it

Whitfield: No he didn’t. We all did not want it and know Jimmy voted against it

Ellerman: Finally admitted that it was a tie vote – rough stock reps voted “Yes” and timed event reps voted “No”. He said that he broke the tie. Then, realizing what he had said, he said that Rodeo Administration decided to do it and that it wasn’t Jimmy’s decision

Whitfield: WE DO NOT WANT THE HOUSTON FORMAT!!! Do you think that’s fair (the $50,000 bonus)?

Feller: It’s the best thing to do

Whitfield: It’s changes for the worst. It’s time to start to straighten it out

Ellerman: We have to have the Houstons of the world to move forward. I agree with it. If we want to make it better, we have to do it.

Whitfield: As long as my hat’s in the ring, OK, but what about the others? The sudden death at the NFR is ludicrous!!!

Ellerman: Then come up with solutions. (TO JIM WARREN) Jim, you have a problem with me and the stock contractors, I’ve read your letter. This isn’t about me.

Warren: Tried to answer Troy, but was cut off by him. Then Jim asked Troy is he would tender his resignation.

Ellerman: No, I think we are on our way up. What is your solution?

Warren: Why deny access to the board minutes, (etc). We do have a plan in our resolution and you won’t let us present it as long as your attorney is up there. We have a goal. You said you would support us but you have cut us off

Ellerman: Your timeline is off and we have tried to help the membership

Warren: THAT’S A LIE!!!

Ellerman: Started talking about the Circuits, playoffs, wild cards, etc (to get away from Jim Warren’s statements and questions)

Curtis Pederson: Said we need a production ambassador to committees to help, especially the small rodeos. Said that announcers and clowns should be trained to sell rodeo to kids

Feller: Asked Curtis to email him and he would give it to the Executive Council

Cooper: About Troy and Cotton --- Rodeo IS in good shape if you are a stock contractor, etc, but NOT as a contestant

Feller: Thank you

Nichols: Process to put in the PSN (couldn’t understand)

Warren: Said that the major rodeos have an increase of $24/go round

Feller: (couldn’t understand)

Warren: Who is Rodeo Administration?

Feller: You know who it is

Warren: I want YOU to tell us

Feller: John Davis and Aaron Enget

Warren: What % of ticket sells goes to the cowboys? Other events get 60% and rodeo gets 8%. Houston is completely out of line!

Nichols: Is the Point System of the Circuits in or out?

Feller: Out

Nichols: Even though the Circuit Presidents did not want it? Houston $50,000 bonus issue was a 3 to 3 tie. Who broke the tie?

Ellerman: I did. Well, I supported it. It was broken by Rodeo Administration, but I supported it.

Brenda Crowder: You keep saying that we have to go by the rulebook to change a rule or bylaw, correct?

Feller: Yes

Crowder: Why then does the BOD keep changing rule and bylaws WITHOUT going by the rules in the rulebook?

Feller: It also says “unless it’s for the betterment of rodeo”

Crowder: Obviously it’s NOT for the betterment or you wouldn’t have to keep changing the rules BACK. 1. Canadian rodeos being kicked out, now it’s going back as before. Only thing it did was cause problems and hard feelings, 2. DCNFR Champions would be the 16th man at the NFR. 4 Months later it was changed to they would get a bye to the Tour Finales, Gave several other examples where they changed a rule or bylaw without going through proper procedures and then changing them back months later. Obviously they were NOT for the betterment of the PRCA or they would not change them back. If they had put the proposals in the business journal (according to the rulebook), maybe they would not have to flip-flop and loose credibility.

Feller: Noted

Jolee Lauteret (PRCA & WPRA member): Said she has worked the proper channels and gets no representation. Asked why she was stonewalled for 3 months and had to get an attorney to get the minutes and now we get a DVD

Ellerman: You threaten us with your attorney for the minutes

Lauteret: No, sir. I asked for the minutes for 3 months with no result. THEN I had to hire an attorney. I did not want to go to the expense of hiring an attorney, but I had no choice

Ellerman: You didn’t have to go hire an attorney. Anyway, you’ve got it now so there!

Marla Moorehead (to Troy): If you want respect, you have to demand respect, just like you disrespected Jolee!!! Concerning the “70 Rodeo” rule – we’re struggling. Without the cowboys, you can’t get a committee to have a small to medium rodeo. The $50,000 rodeos have a head start.

Ellerman: Said he didn’t mean to be flippant with Jolee, but her attorney asked for more than just the minutes

Lauteret: The first request was just for BOD minutes, but didn’t receive them. Her attorney later asked for other things, but got NOTHING

Moorehead: You act like all you want is the TV and big rodeos and forget the grass root rodeos

Ellerman: That’s not our intent. Tom Feller is not the kind of guy to (couldn’t write fast enough!). Working on having a permit finals next year, lowering the permit dues. Wanted to have a 16th man at the NFR, but the members didn’t want it so they changed it to the Tour Finales. 90% of the income goes back to the membership. Can’t say enough good things about Brett Tonozzi

Moorehead: Who does the 70 Rodeo rule help?

Ellerman: The cowboys don’t want to travel so much, that’s what I hear.

Moorehead: The Great Lakes Circuit won’t have a cowboy at the NFR next year. We can’t express our opinions if we don’t know about it.

Scott Miller: Said he got his letter about this meeting late but made a point to be here

Stan Harder: Said he is not proud to be a member for over 40 years! We are all here to try to make the PRCA better, but we are upset where we are going, Dean Oliver is here today and he is not happy. We’re headed for a train wreck. You’re not listening and not wanting to help us. Don’t take care of just the top 30.

Crowder: Why do the secretaries have to pay $200 for the computer program when we were told last year at our sec/timers’ meeting that we would NOT have to pay anything – only furnish our own laptops?

Feller: I will not get into this with you right now, but will talk to you one on one later

Joe Campbell: (couldn’t understand what he said)

Feller: (couldn’t understand his answer)

Skip Beeler: Is this financial report right?

Feller: It’s right

Skip: Then maybe we’re headed in the right direction

Mike Wagner: With the high cost of putting on a rodeo, without volunteers, we couldn’t have smaller rodeos

Nichols: This is a brief financial statement. Where was the Hall of Fame before (when it closed) and where is it now? (in debt $300,000 in 2004)

Feller: I don’t know

Nichols: Is it over $I million?

Feller: No

Nichols: Is it over $600,000?

Feller: Yes

Finerty: Limited rodeos – cut out the circuits so don’t start a new program. Let the circuit members compete

Feller: Big rodeos don’t want slack

Bobby Griswold: Made a motion to adjourn
