that's why they're a named Defendant ,as well. When someone has knowledge of illegal or wrongful acts, they have a DUTY to do something affirmative to correct the wrong or report it to someone who does have the ability to do correct it Should one fail in that duty, they, too, are knowingly complicit in the act, again, by virtue of the fact that they knew or should have known something was wrong and they failed in their "duty!"
