I've had this same problem (same hardware setup) and the only solution I've heard (from a friend whose computer did "something like that") was to reinstall Dial-Up Networking. That hasn't helped.

I was thinking of getting a new modem, since they're so cheap, but that seems like too easy a fix. But I should definitely fix it, because powering down with the power button is not great for the computer. And I do it a LOT.

If there's a simple solution, I'd love to hear it. Complicated, too.
