It all really depends. There are so many different types of paint and primer that any advice would have an exception. Personally I would be reluctant to use a latex, and would lean towards following good old boats advice. Your time spent prepping and applying are (or at least should) far outstrip the cost of the paint. Whatever route you decide to take I would do a small test spot (if you are applying unknowns over unknowns...) As far as the flaking paint goes, you need to definitely remove anything that is loose. And then ponder what exactly are the odds of the rest coming loose. Cause if it does, whatever is ontop of it will fail.
All that being said, if the old paint seems stuck down well, and you can get the primer to stick to it and behave properly, you are *probably* ok.
