This Guarantee must be duly executed by the Contractor and Approved Specialist Roofing Applicator and submitted to the Incorporated Owners of Eastern Harbour Centre at Eastern Harbour Centre, No. 28 Hoi Chak Street, Quarry Bay, Hong Kong, as a condition precedent to the certification of completion of any Works involving roofing works by the Surveyor.

In pursuance of the Contractor's obligations under the Renovation Works at Eastern Harbour Centre, No. 28 Hoi Chak Street, Quarry Bay, Hong Kong ( “the Main Contract"). I/We hereby jointly and severally warrant and guarantee that all my/our entire proprietary roofing system such as has been required and demanded by the Incorporated Owners of Eastern Harbour Centre ( “ Building Owners") to have been carried out as part of the above Works under the Main Contract shall conform with the Specification as stipulated in the Main Contract ( “ the Specification") and shall remain
watertight and free from defects for a period of ten (10) years from the date of certification of completion of such Works by the Surveyor appointed under the Main Contract ( “the Surveyor") in accordance with the Specification.

CERTIFICATE OF GUARANTEE FOR PROPRIETARY ROOFING SYSTEM

I1We undertake that if for whatever reason any of the said roofing system or part thereof
shall become defective or fail to conform with the Specification in any respect during the said period of ten (10) years, I/We shall upon notice given by the Building Owners or the Surveyor appointed under the Contract ( “the Surveyor") to me/us , at my/our own expense, take such steps and/or carry out such remedial and/or replacement work (including emergency and temporary work) all as may be required by the Building Owners or the Surveyor to make good the defects and to render the said roofing works in full conformity with the Specification all to the satisfaction of the Building Owners or the Surveyor. The remedial and/or replacement work shall include the making good of all damages caused by defective materials and workmanship including the removal and reinstatement of any existing finishes. In the event of my/our failure to take such steps and/or to carry out such remedial and/or replacement work within 14 days from the date of notice given by the Building Owners or the Surveyor to me/us , the Building Owners shall be entitled to take such steps and/or to carry out such remedial and/or replacement work by his own workmen or by any other contractor. Without prejudice to any other remedy, all expenditure properly incurred by the Building Owners in having such steps taken and/or such remedial and/or replacement work carried out shall be a debt due to the Building Owners from me/us and shall be paid on demand. Any such work so effected shall not render this guarantee void as whole and this guarantee shall remain valid to the undisturbed portion of the roofing works completed by me/us as part of the Works under the Contract.

Provided that I/we shall not be held responsible for defects in the roofing system due to unauthorized alterations, abuse of the works, vandalism and other causes beyond my/our control.

Subject to the proviso of this guarantee, nothing shall operate to exclude or limit my/our liability for any breach of the guarantee and undertakings referred to the above paragraphs.
