The lawsuit claims fraudulent activity in the sale of Miss America from the MAO to Miss America Competitions LLC. Companies get sued all the time. and if there is a judgment the costs are typically borne by the consumer of the goods or services the company sells. Why would the owner of a corporation be personally responsible for a corporate debt? Fox passed their $800MM debt to its viewers by raising its carriage charges to the cable companies so if you watch Fox you are paying for that judgment. Rupert was not personally responsible. There is no question about whether the debt is owed. It's been arbitrated, certified, everything else...Bryan is owed that money. That debt was taken on by the new company during the asset transfer. So when we say Robin owes the money it's because she keeps claiming to own MA. There may be defenses. I read the sales agreement and it is quite ambiguous as to what duties the purchaser actually might have vis a vis this debt. You say the debt was taken on by the asset transfer. I read the same document and do not conclude it is so clear. So when a woman runs her own company you call her a dictator. If a man ran his own company what would you call him? I seem to recall Sam running roughshod over an entire board of directors. So some advice to make you happier: walk away.
