Well, before going with surgery -- grab a voltmeter and check whether battrey is really dead, be ready it might show you voltage, but if it's dead it wouldn't hold the load, and the voltage would start dropping down. Normally you expect about 3 years from a cell battery (Li), alcaline one lasts less.

Then I'm not sure if you tried this, but is your machine able to run from AC power (of course after you checked all BIOS settings)? Shutdowns might be related to variety of things -- from flacky AC cord to y2k problem.

I don't have processor upgrade experience myself, so I could not advise you on this. But if you're able to identify what processor type you have, you might post you question on any of Laptops newsgroups:
